1. These Terms & Conditions constitute the entire understanding between Jennings Auction Group (Auctioneer or representatives of Auctioneer) and all parties attending and/or participating in any auction sale conducted by Auctioneer. All other agreements, announcements, advertisements, and published material relating to the subject matter hereof are superseded. Only announcements made by the Auctioneer at an auction sale shall supersede these Terms & Conditions and other terms announced by Auctioneer at the auction sale. 2. Any party interested in purchasing any item for sale must register and receive a bidder’s card. 3. Auctioneer’s acceptance of a winning bid is a binding contract that the winning bidder will purchase the item bid upon for the bid price submitted, plus all applicable taxes and fees, including the buyer’s premium described below. ALL SALES ARE FINAL. There shall be no refunds, no returns, and no exchanges of any item purchased at the auction sale. FULL SETTLEMENT OF ALL PURCHASES MUST BE MADE ON DATE OF THE AUCTION SALE. ALL PAYMENTS MUST BE MADE IN FULL IN THE FORM OF CASH, CERTIFIED CHECK / CASHIER’S CHECK, MASTERCARD OR VISA. Personal or company checks shall only be accepted for payment with the prior written consent of Auctioneer and/or when accompanied by an irrevocable Bank Letter of Guarantee, on bank letterhead, and signed by a bank officer. 4. No item shall be removed by purchaser prior to full settlement and payment in full of the entire purchase price, including the buyer’s premium and all other applicable fees or taxes. An invoice will be supplied to the purchaser at the time of settlement. This paid invoice must be submitted to Auctioneer at the time the purchaser desires to remove purchased items from the auction site. In the event the buyer defaults in buyer’s obligation to remove purchased items, including buyer’s failure to remove due to buyer’s failure to pay the purchase price, Auctioneer, in Auctioneer’s sole and absolute discretion, may treat the items purchased as the property of the buyer subject to a possessory lien favor of the Auctioneer in the amount of the buyer’s bid, plus the costs of removal and storage. Auctioneer may sell or otherwise dispose of such items at the buyer’s sole risk and expense and without the requirement of notice to buyer, and buyer shall be liable for any loss and all costs of resale, including reasonable attorney’s fees and court costs. 5. Auctioneer reserves the right to reject any bid or disqualify any bidder for any reason, including but not limited to financial reasons. The decision of the auctioneer regarding any dispute between one or more bidders shall be final and binding. All items by definition are offered with reserve, and otherwise specifically stated. The Auctioneer reserves the right to remove an item from the auction if a reasonable bid has not been received and accepted at the time of offering. 6. RISK OF LOSS. Immediately upon Auctioneer’s acceptance of a winning bid, the purchaser shall be responsible for the security, payment, removal, and storage of the purchased item. Under no circumstance shall Auctioneer be responsible for any loss of or damage to the purchased items. Removal of any purchased item is at the sole risk and expense of the buyer. The Buyer agrees to insure the equipment purchased against all losses from the auction date until removal of the equipment by the buyer. 7. NO WARRANTY. Auctioneer makes no warranty as to the state or condition of any of the items offered at auction. All items are sold “As-Is, Where-Is”, with any and all faults. The information used in the auction has been obtained from sources believed to be reasonably reliable. Auctioneer believes that each item has been carefully and accurately described, however, Auctioneer and owner (or representative of owner) make NO warranties, express or implied, and NO guarantees as to the accuracy of any information provided in the auction, including but not limited to any and all descriptions, grades, dates, and serial numbers. Auctioneer and owner of the items make NO guarantees as to the merchantability, correctness, description, fitness, or condition of any of the items offered for sale. Buyer should inspect all items prior to bidding. 8. LIMITATION OF REMEDIES. If auctioneer breaches any of Auctioneer’s obligations to any person or entity attending or participating in an auction sale, including Auctioneer’s failure to deliver an awarded lot, or if it is adjudicated by any Court that a participant is entitled to a judgment against the Auctioneer despite the forgoing provisions, then the participant’s sole remedy and Auctioneer’s sole liability shall be the return of any deposit or money paid to Auctioneer. In such event, buyer shall immediately return the subject item at buyer’s cost. In no event shall Auctioneer or owner be liable for any attorney’s fees or other costs of a participant. 9. Auctioneer, in Auctioneer’s sole and absolute discretion, reserves the right to group item(s) into one or more selling lots, and to add, delete lots, and/or offer any selling lots as operating units prior to offering them individually, by the piece. Auctioneer reserves the right to reject any bid which is only a fractional advance over the preceding bid. 10. BUYER’S PREMIUM. A 14% buyer’s premium is in effect for on-site attendees at this auction, discounted to 10% for cash or acceptable check as specified above. This means that a surcharge is added to the winning bid for each item sold and is included in the total purchase price if each item. If applicable, additional terms and fees will apply to online buyers. 11. SALES TAX. All items will be subject state and local sales tax when applicable, unless Certificate of Resale bearing a dealer’s sales tax exemption number is submitted to Auctioneer in advance of payment. 12. RECORDING. The record of sale kept by the Auctioneer will be taken as final and absolute. All auction sales may be photographed, audio/videotaped, or otherwise recorded. This recording will be used to settle any and all disputes. Any video or photograph taken during an auction sale may be used by Auctioneer for advertisement, on Auctioneer’s website, or otherwise be distributed. All parties attending and/or participating in an auction sale agree to such recording. 13. PAYMENT. To be made as specified above. All checks are to made payable to Jennings and Grosh, Inc.
